These Terms & Conditions ("Terms") govern your access to and use of the Indinuity website at indinuity.com (the "Site"). The Site is operated by Indinuity, a software studio based in Cambridge, Ontario, Canada ("Indinuity", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
1. The Site
The Site is an informational and marketing website describing our products, services, and how to engage us. The content is provided for general information only and does not constitute professional, technical, or legal advice.
2. Engagements & proposals
Booking a discovery call or contacting us does not create a contract or any obligation on either party. Any consulting, development, or other professional services we provide are governed by a separate written agreement (such as a statement of work or services agreement) signed by both parties. In the event of a conflict, that signed agreement prevails over these Terms.
3. Intellectual property
The Site and its contents — including text, design, graphics, logos, and code — are owned by or licensed to Indinuity and are protected by applicable intellectual-property laws. You may view and use the Site for personal, non-commercial purposes. You may not copy, reproduce, republish, or create derivative works from the Site without our prior written permission. Third-party names and marks referenced on the Site are the property of their respective owners.
4. Acceptable use
You agree not to use the Site to: (a) break any law or regulation; (b) attempt to gain unauthorized access to the Site, its servers, or related systems; (c) interfere with or disrupt the Site; (d) transmit malware or other harmful code; or (e) submit false, abusive, or unlawful content through our contact form.
5. Third-party services & links
The Site integrates and links to third-party services — including Google Calendar (appointment booking), Google reCAPTCHA, and email delivery providers. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the content or practices of third-party websites or services.
6. No warranty
The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
7. Limitation of liability
To the fullest extent permitted by law, Indinuity will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of (or inability to use) the Site.
8. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Ontario will have exclusive jurisdiction over any dispute arising from these Terms or the Site.
9. Changes
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
